1. General Terms

1.1 Definitions

Client” refers to the individual, business, or organisation engaging Solution 22 Aus Pty Ltd for services.
Services” means any work, deliverables, hosting, or consultancy provided by us, as outlined in agreements or proposals.

1.2 Acceptance of Terms

By requesting or using our Services, the Client agrees to be bound by these Terms and Conditions, as updated from time to time. The most current version will be available on our website.

1.3 Quotations & Pricing

Quotes are valid for 30 days unless otherwise specified. Pricing excludes GST unless stated. Additional work outside agreed scope will be charged at prevailing rates.

1.4 Payment & Default

Invoices are payable within 7 days of issue unless otherwise agreed. If invoices remain unpaid beyond 14 days:

  • We reserve the right to suspend or restrict access to any Services, websites, email accounts, hosting, or other deliverables until payment is received in full.
  • We reserve the right to charge interest on overdue amounts at 10% per annum, calculated daily, plus any collection costs incurred.

1.5 Client Responsibilities

The Client agrees to:

  • Provide accurate and timely instructions, materials, and approvals.
  • Review and approve work promptly.
  • Ensure all content supplied complies with Australian law and does not infringe third-party rights.

1.6 Approval & Final Content

Once the Client approves any deliverables (in writing or by clear conduct), the Client assumes full responsibility for the accuracy, legality, and ongoing maintenance of the content.

1.7 Limitation of Liability

To the maximum extent permitted by law:

  • We exclude all liability for indirect, incidental, special, or consequential loss.
  • Our liability for any claim arising under these Terms is limited to the fees paid by the Client in the preceding 3 months.

1.8 Third-Party Products and Services

The Client acknowledges that third-party tools, hosting providers, plugins, and platforms may be used. We are not liable for any interruption, unavailability, or change to such services.

1.9 Intellectual Property & License

Unless otherwise agreed in writing:

  • We retain ownership of all intellectual property created until payment is received in full.
  • Upon payment, the Client receives a non-exclusive, non-transferable license to use the deliverables for their intended purpose.

1.10 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information received during the engagement, except where disclosure is required by law.

1.11 Governing Law

These Terms are governed by the laws of Victoria, Australia. Disputes will be subject to the jurisdiction of Victorian courts.

1.12 Subscription Fees and Price Adjustments

We reserve the right to adjust any subscription fees, recurring charges, or service rates at our discretion and without prior notice.
Adjustments may occur, including but not limited to, circumstances where our own costs increase due to changes in supplier pricing, infrastructure expenses, or third-party service costs.
Any such adjustment will take effect from the next applicable billing cycle. Your continued use of the Services after an adjustment has been applied will be deemed acceptance of the new rates.


2. Website Development

2.1 Scope of Work

Services include design, development, and integration as per the agreed proposal.

2.2 Content and Materials

The Client must provide all required content (including text, images, and legal disclaimers) in a timely manner. We may use placeholder materials if none are provided.

2.3 Testing and Acceptance

On completion, the site will be presented for review. Approval or use of the site constitutes acceptance. We recommend thorough testing before going live.

2.4 Warranty

A 30-day warranty applies to fix functional issues arising from our development. This does not cover issues caused by:

  • Client modifications
  • Hosting or server problems
  • Third-party updates or incompatibilities

2.5 Retention of Access

We retain the right to restrict or remove website access if invoices remain unpaid.


3. Application Development

3.1 Scope of Work

We offer design, development, and implementation of custom applications as agreed in writing.

3.2 Testing and Acceptance

Applications will be provided for testing and review. Approval or use of the application constitutes acceptance.

3.3 Warranty

A 30-day warranty applies to correct functional defects caused by our development. Issues arising from user modifications, third-party integrations, or operating system updates are excluded.

3.4 Ongoing Support

Support beyond the warranty period is available under separate maintenance agreements.

3.5 Suspension for Non-Payment

We retain the right to restrict or disable application access if invoices remain overdue. Subscription fees are subject to adjustment per Section 1.12.


4. Website Maintenance

4.1 Scope

Includes security updates, minor content edits, backups, and monitoring, as per your maintenance agreement.

4.2 Exclusions

Does not cover major redesigns, new development, or recovery from Client-caused issues.

4.3 Suspension for Non-Payment

Maintenance services may be suspended if accounts are overdue. Subscription fees are subject to adjustment as outlined in Section 1.12.


5. Website Hosting and Domain Hosting

5.1 Service Levels

Hosting is provided on a best-effort basis. Uptime and performance depend on third-party infrastructure and are not guaranteed.

5.2 Suspension for Non-Payment

Web and domain hosting services may be suspended if invoices remain overdue. Subscription fees may be adjusted per Section 1.12.

6. Email Hosting (Managed Service)

6.1 Service Provision

We provide managed email hosting, including configuration, basic support, and maintenance.

6.2 Service Levels

While we strive for reliability, we cannot guarantee uninterrupted service.

6.3 Data Retention & Backup

Routine backups may be performed; however, Clients are responsible for archiving important emails.

6.4 Acceptable Use

Clients agree not to use email services for spam, malicious, or unlawful activity. Breaches may lead to suspension or termination.

6.5 Client Security

Clients must maintain secure passwords and notify us of any breach.

6.6 Suspension for Non-Payment

We reserve the right to suspend or restrict access to email accounts if invoices remain unpaid. Subscription rates may be varied as described in Section 1.12.


7. Photography and Videography

7.1 Scope of Work

Includes professional photography and videography as agreed in writing.

7.2 Proofing and Approval

Clients are responsible for reviewing and approving all materials. Once approved, we accept no responsibility for errors or legal compliance.

7.3 Usage Rights

Copyright remains with Solution 22 Aus Pty Ltd unless transferred in writing. Upon payment, the Client receives a license for the agreed usage.


8. Digital Management

8.1 Scope

May include content scheduling, social media management, advertising, and platform moderation.

8.2 Client Approvals

All content must be reviewed and approved before publication. We are not liable for claims resulting from approved content.

8.3 Suspension for Non-Payment

Management services may be paused or terminated if invoices are overdue. Service fees are subject to change as per Section 1.12.


9. Search Engine Optimisation (SEO)

9.1 Scope and Limitations

SEO services aim to improve search visibility but do not guarantee specific rankings or traffic levels.

9.2 Client Cooperation

The Client must provide timely access and approvals. Delays may impact results.


10. Graphic Design

10.1 Scope

Graphic design includes concepts, revisions, and final artwork as agreed.

10.2 Proofing

The Client must thoroughly review and approve all artwork. Once approved, responsibility for content accuracy and legal compliance transfers to the Client.


11. Final Content Responsibility

Once deliverables have been approved, the Client assumes all responsibility for their use, accuracy, and compliance with applicable laws. We accept no liability for any claims, damages, or losses arising from Client-approved materials.


12. Termination

12.1 Termination by Either Party

Either party may terminate by providing 14 days’ written notice.

12.2 Payment on Termination

All work completed up to termination must be paid in full. We may retain or suspend access to deliverables and accounts until all outstanding balances are settled.
